  • Advised Silverco Mining Corp on the acquisition, by its Mexican subsidiary Minera San Bernabe, of the CUSI Mining Project from Dia Bras Mexicana (a subsidiary of Sierra Metals Inc); the transaction totalled $2.5m, with assets valued at over $30m.
  • Advised Heliostar Metals Ltd on its acquisition of all Florida Canyon Gold Corp’s Mexican assets – including two operational mines and two advanced exploration projects, in a transaction that included all assets, rights, permits, surface land rights and mining concessions that were held by FCGC’s Mexican subsidiary; the transaction totalled $5m, with assets valued at over $270m.

Basham, Ringe y Correa, S.C.

A long-standing actor in the mining sector, the practice group at Basham, Ringe y Correa, S.C. has experience throughout the industry, from issues regarding mineral extraction and real estate-associated matters (such as rights-of-way and sub-surface rights) to, mining company incorporation and  registration along with licensing and permits.   • Advised Alamos Gold on the drafting and management of contracts and agreements for the construction of a 32.5-km transmission line connecting the company’s Mulatos and La Yaqui Grade mines to the national grid of the Federal Electricity Commission (CFE), which is projected to reduce greenhouse gas emissions by 15% by replacing diesel-generated power with electricity from the national grid. The project also involved the transfer of a 34.5-kilovolt distribution line and a state-of-the-art switching station to the CFE for operation and management, while Alamos retains control over the 115-kilovolt transmission line and a 20-megawatt substation.
  • Advised Coeur Mining on the Mexican due diligence for its $1.7bn takeover of SilverCrest Metals, an acquisition that includes the Las Chispas mine, a subterranean mining project located in the state of Sonora, Mexico.
  • Advised Alamos Gold on obtaining environmental authorisation for the development of the “Puerto del Aire” project, a new underground mine located within the Mulatos mining district; said authorisation will allow the project’s development, extending the productive life of the Mulatos mining district considerably.

Galicia Abogados S.C.

With its full-service offering, market-leader Galicia Abogados S.C. is well positioned to handle matters along the length of the mining value chain. The team is primarily focused on regulatory issues for large-scale mining projects; M&A transactions (and associated due diligence); project finance and capital markets; and cross border tax planning, along with associated commercial litigation in both administrative and commercial courts.
